1. Acceptance of Terms

By downloading, installing, registering for, or using the UZOVIA platform (mobile app, web portal, or any associated API), you agree to be legally bound by these Terms of Service ("Terms"). If you do not agree, do not use UZOVIA.

These Terms constitute a binding agreement between you ("User") and Swiftliner Technologies Limited ("UZOVIA", "we", "us", "our").

Where the User is acting on behalf of an organisation, institution, or other legal entity, the User represents and warrants that they have authority to bind such entity to these Terms.

2. Eligibility

To hold a transit account, load it, or make withdrawals, you must:

  • Be at least 18 years of age
  • Be a resident of, or using the service within, the Federal Republic of Nigeria
  • Provide true, accurate, and complete registration information
  • Not be on any regulatory watchlist or sanctions list applicable under Nigerian law

Users under 18 may access limited platform functionality — specifically, fare payments within institutional spaces — subject to institutional enrolment, without independent transit account or withdrawal capability.

By registering, you confirm the above as applicable. We reserve the right to request proof of identity at any time.

3. Account Registration and Security

3.1 Registration

You are responsible for:

  • Providing accurate information at registration (name, email, phone number)
  • Promptly updating any inaccurate or outdated account information
  • Keeping your login credentials (password, PIN, Transfer PIN) confidential
  • Not sharing your account with any other person
  • Notifying us immediately at support@uzovia.com if you suspect unauthorised access

3.2 Account Suspension and Termination

We may suspend or terminate your account if:

  • You violate any provision of these Terms
  • We detect actual or suspected fraudulent activity
  • You provide false or misleading information
  • A regulatory authority requires us to do so
  • Your account is inactive for an extended period (see Section 17)

UZOVIA may temporarily restrict account access while conducting fraud, compliance, or identity investigations. This is not a termination and access may be restored on resolution.

You may request voluntary account deletion at any time via Profile → Delete Account in the app or via our account deletion page. Pending transactions and regulatory retention obligations apply after deletion.

4. Transit Account & Payments

4.1 Loading Your Transit Account

You may load your transit account via Paystack using a debit card or bank transfer. All funding is processed by Paystack, a CBN-licensed payment service provider. We shall not be responsible for delays, failures, interruptions, or errors solely attributable to third-party payment providers. Minimum and maximum loading amounts are displayed in-app before checkout.

4.2 Platform Fees

UZOVIA charges a platform fee on applicable transactions. The applicable fee is always displayed to you before you confirm the transaction. By confirming, you agree to the fee.

Platform fees are non-refundable once a transaction is confirmed, except in the cases described in Section 5.

4.2A Value Added Tax (VAT)

Where required by applicable law, UZOVIA charges VAT on its service fees. VAT is calculated on UZOVIA's service fee only — not on the underlying fare amount or the money being transferred.

The applicable rate and tax name for your transaction are always displayed in the breakdown before you confirm. VAT collected by UZOVIA is held in a dedicated VAT liability account and remitted to the relevant tax authority — the Federal Inland Revenue Service (FIRS) for Nigeria, or the equivalent authority in other jurisdictions — at the applicable reporting intervals. A VAT breakdown is included in your transaction receipt within the app. You may request a VAT invoice for any transaction by contacting support@uzovia.com.

4.3 Payment Finality

Payments are generally final and irrevocable except where required by law, regulatory directive, court order, fraud investigation, operational error, or the refund provisions of Section 5.

4.4 Fare Payments (Institutional Transport)

UZOVIA enables cashless fare payments within institutional transport spaces (e.g. university campuses, corporate estates). When you pay a fare, the amount is deducted from your transit account and a platform fee is deducted before revenue is routed. A receipt is recorded in your journey history. Transport Inspectors and Space Administrators within your institution may only view records reasonably necessary for fare verification, operational administration, reconciliation, security, and auditing purposes within their designated space.

5. UZOVIA Pay (Direct Peer-to-Peer Payments)

UZOVIA Pay lets you pay any UZOVIA user directly using their 6-character payment code or QR code — without needing a session, route, or institution. UZOVIA acts solely as a technology platform and payment facilitator through licensed payment service providers and financial institutions.

  • Transfer PIN required: Every direct payment requires your 4-digit Transfer PIN
  • Fee: A platform fee (displayed before confirmation) applies to every direct payment
  • Limits: Minimum and maximum payment amounts apply and are displayed in-app
  • Finality: Confirmed direct payments are generally final. Contact support within 30 days for disputes (see Section 6)
  • Self-payment: You cannot send a payment to yourself

UZOVIA may delay, suspend, reject, or reverse a transaction where required by law, regulatory directive, fraud investigation, sanctions screening, or AML/CFT review.

6. Disputes and Refunds

6.1 When Refunds Apply

Account charges are non-refundable except:

  • Duplicate charge — you were charged twice for the same transaction
  • Wrong amount — amount charged differs from what was displayed
  • System failure — a technical error caused a deduction without completing the transaction
  • Verified fraud — transaction initiated without your authorisation (subject to investigation)

6.2 How to Dispute

  • Open UZOVIA → Profile → Help & Support → Create a ticket
  • Include: transaction date, amount, and reason
  • We acknowledge within 48 hours and resolve within 14 business days
  • Valid disputes are refunded to your transit account or bank account

Disputes should be submitted within 30 days of the transaction date. UZOVIA may decline to investigate disputes raised after this period except where fraud, regulatory requirements, or exceptional circumstances exist.

7. Withdrawals and KYC Tiers

7.1 KYC Tier Model

UZOVIA operates a tiered identity verification system aligned with CBN requirements:

7.2 BVN Verification

To upgrade to Tier 1 and unlock withdrawals, navigate to Profile → Identity Verification. Your BVN is matched against NIBSS records via Prembly, a licensed Nigerian identity verification provider. UZOVIA stores only a SHA-256 hash of your BVN — the raw number is never retained. Users must be 18 or older to complete BVN verification (CBN requirement). BVN verification does not provide UZOVIA access to your bank account.

7.3 Withdrawal Processing

Withdrawals are processed via Paystack to your registered bank account, typically within 1–3 business days. Your withdrawal bank account name must match your verified legal name. Mismatches may be flagged for compliance review.

Withdrawal requests may be delayed, restricted, or declined where required for fraud prevention, AML/CFT reviews, court orders, sanctions screening, regulatory compliance, or technical investigations.

8. User Conduct

You agree not to:

  • Use UZOVIA for any illegal purpose under Nigerian law
  • Attempt to defraud, deceive, or impersonate any other user
  • Engage in money laundering, structuring, or any activity that violates the Money Laundering (Prevention and Prohibition) Act 2022
  • Attempt to reverse-engineer, hack, or interfere with UZOVIA systems
  • Provide false information at registration or during identity verification
  • Access or use another person's account or credentials
  • Harass, abuse, or threaten other users or UZOVIA staff

Violations may result in immediate account suspension, reporting to relevant authorities (CBN, NFIU, EFCC), and legal action.

9. Privacy

Your use of UZOVIA is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By accepting these Terms, you also accept our Privacy Policy.

10. Intellectual Property

All content, trademarks, logos, and software comprising the UZOVIA platform are owned by Swiftliner Technologies Limited. You may not copy, reproduce, or distribute any UZOVIA content without written permission.

11. Third-Party Services

UZOVIA integrates with third-party providers including Paystack (payments) and Prembly (identity verification). Your use of these services is subject to their respective terms and privacy policies. UZOVIA does not control third-party platforms and cannot guarantee their availability, performance, security, or compliance with applicable law.

12. Limitation of Liability

To the maximum extent permitted by Nigerian law:

  • UZOVIA is provided "as-is" without warranties of any kind
  • We are not liable for loss of funds due to your own negligence (sharing credentials, weak PINs)
  • We are not liable for failures of third-party providers (Paystack, Prembly, banks)
  • Our total liability for any claim is limited to the platform fees you paid in the preceding 30 days

Nothing in these Terms limits liability for fraud, gross negligence, or death/personal injury caused by our negligence.

13. Governing Law and Disputes

These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising from or related to these Terms shall first be referred to good-faith mediation in Lagos, Nigeria before commencement of court proceedings. The 30-day notification period below satisfies this requirement where no separate mediation is initiated.

Before commencing legal proceedings, you agree to notify us at legal@uzovia.com and allow 30 days to attempt good-faith resolution.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you via email and in-app notification before the changes take effect. Your continued use of UZOVIA after the effective date constitutes acceptance. If you do not agree, you may request account deletion.

15. Contact

We respond to all support requests within 48 hours.

16. Force Majeure

UZOVIA shall not be liable for any delay, interruption, failure, or inability to perform its obligations under these Terms where such results from events, circumstances, or causes beyond its reasonable control ("Force Majeure Event"), including but not limited to acts of God, government actions, regulatory directives, sanctions, system failures of third-party providers, or network outages.

17. Dormant Accounts

Accounts with no login activity for 12 consecutive months may be designated dormant. Dormant accounts are subjected to additional identity verification — a one-time code sent to your registered email or phone — before reactivation. Your data and account balance are preserved during dormancy and restored upon successful reactivation.

18. Regulatory Compliance Reservation

UZOVIA may take any action reasonably necessary to comply with applicable laws, regulations, court orders, directives, sanctions regimes, AML/CFT obligations, or regulatory requirements, including restricting, suspending, or terminating accounts. We will notify affected users where permitted by law.

19. Electronic Communications

By registering for UZOVIA, you consent to receiving notices, disclosures, and communications from us electronically via email, in-app notification, or push notification. Electronic communications satisfy any legal requirement that such communications be in writing.
